1. Acceptance

By accessing or using First Dollar, you agree to these Terms, our Acceptable Use Policy, and our Privacy Policy, which are incorporated by reference. If you do not agree, do not use the platform.

2. Definitions

• User — anyone who uses the platform, including builders, developers, and creators.
• Sponsor — an organization or person approved to create and fund bounties or campaigns ("Bounty Creator").
• Bounty / Campaign — a task or program posted by a Sponsor, which may offer a payout.
• Payout — funds paid in connection with a bounty or campaign.
• XP — a non-transferable, non-monetary reputation metric.

3. Eligibility

You must be at least 18 years old and legally capable of entering into agreements. By using the platform you confirm you meet this requirement. Where identity verification applies to payouts, date of birth may be used to confirm age, and users who cannot verify as 18+ may be blocked from receiving funds. Accounts found to belong to minors are removed.

4. Platform description

First Dollar is a builder discovery, bounty, and opportunity platform featuring profiles, XP, campaigns, and talent discovery, and it facilitates payouts in connection with bounties and campaigns. We connect Users and Sponsors; except where we directly administer a payout, we are a venue and not a party to the agreement between a User and a Sponsor. We do not guarantee employment, income, campaign selection, or rewards.

5. Accounts

• You are responsible for maintaining the security of your account and wallet.
• Information you provide must be accurate and kept up to date.
• We may suspend or restrict accounts for abuse, fraud, manipulation, or risk to the platform.

6. Sponsors (Bounty Creators)

• Approval required. Sponsors cannot post bounties until we manually approve them. We review the business email and the organization's online and social presence to confirm it is legitimate and authorized. We may decline or revoke approval at our discretion.
• Sponsor obligations. Sponsors must accurately describe each bounty's scope, deliverables, eligibility, and payment terms; only post bounties they are authorized and intend to pay for; not use bounties to disguise the true purpose of a payment; and comply with these Terms, the Acceptable Use Policy, and applicable law.
• Our rights. We review bounties and may reject, pause, or remove any bounty, and suspend or offboard any Sponsor, at any time. Our Sponsor (Bounty Creator) Vetting Policy describes this process.

7. Bounties & campaigns

• Bounties and campaigns are posted by Sponsors. Payment terms are defined by the Sponsor unless we state otherwise.
• We do not guarantee selection, payment, quality, or outcome, except where we directly administer a payout.
• Disputes between Users and Sponsors are primarily between those parties; we may, but are not obligated to, assist. Where we administer a payout, we may hold, release, or refund funds in line with these Terms and our policies.

8. Payments & payouts

• We create an embedded wallet for you (via our wallet provider, Privy) when you first take an action that requires one, such as applying to a bounty or campaign. Bounty and campaign payouts are sent to this wallet, settling in USDC on Base or as otherwise specified.
• Identity verification. Where required by law or by our payment partners, you may need to complete identity verification (which may include legal name, date of birth, address, and a government-issued ID) before a payout is released. We may introduce or expand these checks as the platform and its payment integrations evolve, and we will not release funds where verification or screening is required and not completed.
• On-chain transactions may be irreversible. You are responsible for the security of your wallet and credentials and for the accuracy of any withdrawal details.
• We are not a bank, money transmitter, custodian, or investment adviser, and we do not provide financial advice. We do not guarantee the value or availability of any token.

9. Sanctions & compliance

You represent that you are not subject to sanctions and are not located in or a resident of any comprehensively sanctioned or embargoed jurisdiction. You will not use the platform in violation of any anti-money-laundering, counter-terrorist-financing, or sanctions laws. We screen payout recipients and Sponsors and may refuse, hold, reverse, or report any transaction to comply with law. Our AML/CTF Policy and Acceptable Use Policy form part of these Terms.

10. Taxes

You are solely responsible for determining and paying any taxes applicable to amounts you receive through the platform. We may collect tax information and issue reporting where required.

11. XP system

• XP is a non-transferable reputation metric with no monetary value.
• We may adjust XP rules, scoring, or tiers at any time.
• Attempts to game XP may result in penalties or bans, and such decisions are final.

12. User content

You retain ownership of content you submit. You grant First Dollar a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content within and in connection with the platform. This license continues for content already distributed, and we may retain content as needed to meet legal, security, or compliance obligations.

13. Prohibited conduct

You may not misrepresent identity or skills; abuse, harass, or spam others; manipulate XP, leaderboards, reviews, or referrals; operate fake or multiple accounts or collude; upload malicious or illegal content; or use the platform for any unlawful or high-risk activity. A full list is set out in our Acceptable Use Policy, which forms part of these Terms.

14. Termination

We may suspend or terminate access at any time, with or without notice, for violations or risk to the platform. Provisions that by their nature should survive (including payments, compliance, IP, disclaimers, liability, and dispute terms) survive termination.

15. Disclaimers

The platform is provided "as is" and "as available". We disclaim warranties of accuracy, reliability, merchantability, and fitness for a particular purpose, to the extent permitted by law.

16. Limitation of liability

To the maximum extent permitted by law, First Dollar is not liable for indirect, incidental, special, or consequential damages arising from platform use. Our total liability for any claim is limited to the amounts we directly received from you in connection with the platform in the three months before the claim, or USD 100, whichever is greater.

17. Indemnification

You agree to indemnify and hold harmless First Dollar (Sketch Labs L.L.C-FZ) and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the platform, your content, your bounties, or your violation of these Terms or applicable law.

18. Governing law & disputes

These Terms are governed by the laws applicable to entities in the Meydan Free Zone and the Emirate of Dubai, United Arab Emirates. Disputes will be subject to the jurisdiction of the competent courts of Dubai, UAE.

19. Changes

We may update these Terms. For material changes we will provide reasonable notice (for example, by email or in-app). Continued use after changes take effect constitutes acceptance.
